Stock screener results, AI-generated scores, technical analysis, risk alerts, overnight scan setups, analyst price targets, earnings data, insider activity summaries, and any other outputs produced by this Service do not constitute recommendations or solicitations to buy, sell, hold, or otherwise transact in any security, financial instrument, or asset of any kind. 2.3 AI LIMITATIONS. This Service uses artificial intelligence, automated algorithms, and third-party data sources. You represent that you have full legal capacity to enter into a binding contract and are not prohibited from doing so under any applicable law or regulation. 3.3 PROHIBITED PERSONS. You may not use this Service if you are: (a) prohibited by any applicable law or regulation from receiving or using financial information services; (b) subject to sanctions administered by any government authority; or (c) previously suspended or terminated from this Service. 3.4 GEOGRAPHIC COMPLIANCE. You are solely responsible for ensuring that your use of this Service complies with all laws and regulations applicable in your jurisdiction. We make no representation that the Service is appropriate or available for use in all locations. ───────────────────────────────────────────── 4. ACCOUNTS AND ACCESS 4.1 ACCOUNT TYPES. Access to My Stock Tips requires registration and may be subject to administrator approval, invitation, or payment of applicable subscription fees depending on your account tier. 4.2 ACCURATE INFORMATION. You agree to provide accurate, complete, and current information when creating your account, and to keep your account information updated. Providing false, misleading, or fraudulent information is grounds for immediate account termination. 4.3 CREDENTIALS. You are solely and fully responsible for maintaining the confidentiality and security of your username, password, and any two-factor authentication credentials associated with your account. You agree not to share your credentials with any other person or permit anyone else to access this Service using your account. 4.4 UNAUTHORIZED ACCESS. You must notify us immediately upon becoming aware of any unauthorized access to or use of your account or credentials. We are not liable for any loss or damage arising from unauthorized use of your account. 4.5 ONE ACCOUNT PER USER. Each account is for a single named individual only. You may not create multiple accounts or share one account among multiple users. 4.6 ACCOUNT SUSPENSION AND TERMINATION. We reserve the right to suspend, restrict, or permanently terminate your account at any time, with or without cause, and with or without notice, at our sole discretion. Reasons may include but are not limited to violation of these Terms, suspected fraudulent or abusive activity, non-payment, or inactivity. ───────────────────────────────────────────── 5. SUBSCRIPTIONS AND PAYMENTS 5.1 FREE AND PAID TIERS. My Stock Tips may offer both free-access accounts and paid subscription plans. Features available under each tier are determined by us and may change at any time. 5.2 BILLING. Subscription fees, billing frequency, and payment methods will be disclosed at the time of purchase. You agree to pay all fees associated with your selected subscription plan. 5.3 RENEWALS. Subscriptions may renew automatically at the end of each billing period unless you cancel prior to the renewal date. You are responsible for managing your subscription and cancellation. 5.4 REFUNDS. Subscription fees are generally non-refundable except as required by applicable law or as explicitly stated in our refund policy at the time of purchase. 5.5 PRICE CHANGES. We reserve the right to change subscription pricing with reasonable notice. BROKERAGE INTEGRATION AND LIVE TRADING 6.1 THIRD-PARTY BROKERAGES. This Service may offer integration with third-party brokerage platforms. Such integrations are provided as a convenience feature only. Your relationship with any brokerage is governed solely by that brokerage's own agreements, terms, disclosures, and regulatory obligations. We are not a party to, and accept no responsibility for, your brokerage relationship. 6.2 LIVE TRADING RISK ACKNOWLEDGMENT. IF YOU CONNECT A LIVE BROKERAGE ACCOUNT TO THIS SERVICE, ANY TRADES EXECUTED — WHETHER INITIATED MANUALLY BY YOU OR THROUGH ANY AUTOMATED FEATURE OF THIS SERVICE — INVOLVE REAL MONEY AND CARRY REAL FINANCIAL RISK, INCLUDING THE RISK OF TOTAL LOSS. YOU ACKNOWLEDGE AND ACCEPT FULL AND SOLE RESPONSIBILITY FOR ALL TRADES EXECUTED THROUGH ANY CONNECTED BROKERAGE ACCOUNT. 6.3 NO ORDER EXECUTION BY US. We do not execute, route, clear, settle, or custody any securities transactions or orders. We do not hold, control, or have access to your funds or securities. All order execution occurs through your independently chosen and connected brokerage. 6.4 AUTOMATED FEATURES. Any automated trading, alert, or signal features are tools only. Activation of automated features does not transfer any responsibility or liability for resulting trades or outcomes from you to us. You retain full responsibility for monitoring, configuring, and disabling automated features. 6.5 SIMULATED TRADING. Paper trading and simulated trading features are provided for educational and practice purposes only. Simulated results do not reflect actual market executions. Real trading results will differ materially from simulated results due to factors including but not limited to slippage, liquidity, commissions, fees, order fill rates, and market impact. 6.6 API CREDENTIALS. Any API keys, access tokens, OAuth credentials, or other authentication information you provide to connect a brokerage or data service are stored solely to enable the features you activate. You are responsible for the security of those credentials and for any activity that occurs using them. You should immediately revoke and replace any credentials you believe have been compromised. ───────────────────────────────────────────── 7. ACCEPTABLE USE 7.1 PERMITTED USE. You may use this Service solely for your own personal, lawful informational and research purposes in accordance with these Terms. 7.2 PROHIBITED CONDUCT. You agree not to: (a) Use the Service for any unlawful purpose or in violation of any applicable law or regulation, including securities laws; (b) Attempt to gain unauthorized access to any part of the Service, its servers, databases, or networks; (c) Scrape, crawl, index, harvest, or systematically extract data from the Service by automated means without our express written permission; (d) Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of any part of the Service; (e) Circumvent, disable, or interfere with any security, rate limiting, or access control features of the Service; (f) Share, resell, sublicense, or otherwise commercially exploit any data, outputs, or content from the Service without our prior written consent; (g) Transmit any malware, viruses, or other harmful code; (h) Interfere with or disrupt the integrity or performance of the Service; (i) Impersonate any person or entity or misrepresent your affiliation with any person or entity; (j) Use outputs from this Service to create competing products or services without our written consent. ───────────────────────────────────────────── 8. The Service, including all software, algorithms, AI models, design, graphics, text, data compilations, and all other content, is owned by us or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. 8.2 LIMITED LICENSE. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own personal use in accordance with these Terms. This license does not include any right to sublicense, reproduce, distribute, publicly display, or create derivative works. 8.3 USER CONTENT. Any content you submit to the Service (such as notes, community posts, or feedback) remains yours, but you grant us a non-exclusive, royalty-free, perpetual license to use, store, display, and process that content as necessary to provide and improve the Service. 8.4 FEEDBACK. We make no warranty regarding the accuracy, timeliness, or completeness of any third-party data displayed in or used by the Service. 9.3 Links to third-party websites or services are provided for convenience only. LIMITATION OF LIABILITY 12.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 12.2 IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). 12.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. ───────────────────────────────────────────── 13. You agree that any legal proceedings arising from or relating to these Terms or your use of the Service shall be brought exclusively in the appropriate courts of the jurisdiction governing these Terms, and you consent to the personal jurisdiction of such courts. 14.4 CLASS ACTION WAIVER. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST US. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY. ───────────────────────────────────────────── 15. TERMINATION 15.1 Either party may terminate these Terms at any time. You may terminate by ceasing to use the Service and deleting your account. We may terminate or suspend your access immediately, without prior notice or liability, for any reason. 15.2 Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 2, 8, 11, 12, 13, and 14. ───────────────────────────────────────────── 16. These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, representations, and warranties. 16.2 SEVERABILITY. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. 16.4 ASSIGNMENT. You may not assign these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms freely. 16.5 NO THIRD-PARTY BENEFICIARIES. These Terms are for the sole benefit of the parties hereto and nothing herein shall create any rights in any third party. 16.6 CONTACT.
